7 Brew finalizes purchase of 63 Salad and Go sites

Arkansas-based 7 Brew officially completed its purchase of 63 former Salad and Go locations on Oct. 27 after outbidding Dutch Bros for the sites.

In a bulk sale following the Chapter 11 bankruptcy of Salad and Go, 7 Brew bid $123 million for the locations, including leases for 36 in Arizona, 19 in Texas, 3 in Nevada and 5 in Oklahoma. The company outbid Tempe-based Dutch Bros in the bulk auction. Dutch Bros offered $105 million for the locations.

Representatives from Reed Smith, the law firm representing Salad and Go in its bankruptcy case, confirmed the closing of the sale. The sale was originally expected to close in early October but was delayed.

“Today’s closing turns a court-approved deal into real recoveries for the creditors who stood by Salad and Go,” Omar Alaniz, managing partner of Reed Smith‘s Dallas office, said in an email. “Our goal from day one was to run a process that maximized value for all stakeholders. I’m grateful to our client, to the bidders who made this a truly competitive process, and to the Reed Smith and Stout teams whose work made this outcome possible.”

The purchase jump starts 7 Brew’s expansion into the Phoenix market. The company has two existing locations in Arizona, but both are in Tucson. Since its founding in 2017, 7 Brew has grown rapidly, reaching more than 900 locations across 38 states, according to a company announcement.

Salad and Go abruptly closed all its locations on Aug. 5. That same day, a purchase agreement with Tempe-based Dutch Bros was filed with the court.

However, representatives from 7 Brew said in a court hearing that the purchase agreement did not reflect the best offer for the leases. The leases were then put up for sale as a bulk auction.

The 63 sites did not include every Salad and Go location. Another batch of sites was sold at a non-bulk auction in early October. In total, 34 sites were sold to seven buyers, which included additional sites purchased by 7 Brew.

Other buyers of Arizona locations at that auction were Dutch Bros, dirty soda shop Swig, and salad chain Just Salad. Beyond Salt and Pepper LLC, a company led by Salad and Go co-founder and executive chef Daniel Patino, bought two East Valley locations and the intellectual property and branding for Salad and Go.
